Terms of Service

Acceptance of Terms

By accessing or using the TerraLedgerplatform ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity.

If you do not agree to these Terms, you may not access or use the Service. Your continued use of the Service after any modification to these Terms constitutes your acceptance of the revised Terms.

Description of Service

TerraLedgeris a carbon accounting software-as-a-service ("SaaS") platform that enables organisations to measure, track, and report their greenhouse gas (GHG) emissions in accordance with the GHG Protocol Corporate Standard. The Service includes:

• Automated collection and categorisation of Scope 1, 2, and 3 emissions data
• Integration with third-party data sources (ERP systems, utility providers, travel platforms)
• CSRD-ready and CDP-aligned reporting templates
• Board-level dashboards and audit-trail documentation
• API access for enterprise customers (subject to plan tier)

TerraLedger does not provide legal, financial, or regulatory compliance advice. Customers are responsible for ensuring their own compliance with applicable ESG reporting requirements.

Account Registration & Security

You must provide accurate, complete, and current registration information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

You must notify us immediately at security@terraledger.io if you suspect any unauthorised access to your account. TerraLedger will not be liable for any loss arising from unauthorised use of your account where you have failed to maintain adequate credential security.

Acceptable Use Policy

You agree not to use the Service to:

• Reverse engineer, decompile, or disassemble any part of the platform
• Share login credentials with individuals outside your licensed user count
• Scrape, crawl, or extract data from the platform in bulk without prior written consent
• Upload malicious code, viruses, or any content that disrupts the platform
• Use the Service for any unlawful purpose or in violation of any applicable regulation
• Attempt to gain unauthorised access to any TerraLedger systems or other customers' data
• Resell or sublicense the Service without a written reseller agreement

TerraLedger reserves the right to suspend or terminate accounts that violate this policy, with or without prior notice, depending on the severity of the violation.

Subscription & Payment

TerraLedger offers monthly and annual subscription plans. Annual plans are billed upfront and offer a discount compared to monthly billing. All prices are exclusive of VAT and applicable taxes.

Subscriptions auto-renew at the end of each billing period. To cancel auto-renewal, you must provide at least 30 days' written notice before the renewal date via your account settings or by emailing support@terraledger.io.

Refunds are not provided for partial billing periods. If TerraLedgerincreases subscription prices, we will provide at least 60 days' notice and the new pricing will apply at your next renewal date.

Data Ownership

You own your emissions data. TerraLedger does not claim any ownership rights over the data you upload, connect, or generate within the platform. You grant TerraLedger a limited, non-exclusive licence to process your data solely for the purpose of delivering the Service.

TerraLedger owns the platform, software, algorithms, emission factor databases, and all intellectual property associated with the Service. Your use of the Service does not grant you any rights to the platform itself beyond the licence described in these Terms.

Intellectual Property

The TerraLedger name, logo, product design, documentation, and all associated intellectual property are owned by REPLACE WITH YOUR LEGAL COMPANY NAME and protected by copyright, trademark, and other applicable laws.

You retain all intellectual property rights in the data and content you submit to the Service. By submitting data, you represent that you have the necessary rights to do so and that your submission does not infringe any third-party rights.

Limitation of Liability

To the maximum extent permitted by applicable law, TerraLedger and its affiliates, officers, employees, and licensors shall not be liable for any indirect, incidental, special, consequential, or punitive damages — including loss of profits, data, goodwill, or business interruption — arising from your use of the Service.

TerraLedger's total aggregate liability arising out of or in connection with these Terms shall not exceed the greater of (a) the fees paid by you in the 12 months preceding the claim, or (b) USD 100. Some jurisdictions do not allow limitation of liability for certain damages, so these limitations may not apply to you.

Indemnification

You agree to indemnify, defend, and hold harmless REPLACE WITH YOUR LEGAL COMPANY NAME and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from: (a) your use of the Service in violation of these Terms; (b) your violation of any applicable law or regulation; or (c) infringement of any third-party rights by content you submit to the Service.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of REPLACE WITH YOUR JURISDICTION, without regard to conflict of law principles. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts located in REPLACE WITH YOUR JURISDICTION.

For EU/EEA customers, nothing in these Terms limits your rights under applicable EU consumer protection or data protection law.

Changes to Terms

TerraLedger reserves the right to modify these Terms at any time. For material changes, we will provide at least 30 days' advance notice via email and an in-app notification. Your continued use of the Service after the effective date of the revised Terms constitutes acceptance.

If you do not agree to the revised Terms, you may cancel your subscription before the effective date and receive a pro-rata refund for any prepaid period.
